1. GENERAL TERMS

CNC PRO PARTS LLC ("Company", "we", "us", or "our") is a business registered in the State of Delaware, United States.
1.2 Eligibility
By using our services, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement.
1.3 Modifications
We reserve the right to update or modify these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
2. SERVICES
2.1 Quotation Process
- Clients may submit project files (including CAD designs, drawings, or specifications) to request a manufacturing quote.
- Submission of a request does not guarantee a quote or acceptance of the project.
- We reserve the right to decline projects at our discretion.
2.2 Pricing and Estimates
- Quotes provided are based on the specifications submitted and are valid for a specified period stated in the quote.
- Prices may change due to material costs, production complexity, or other factors.
2.3 Project Acceptance
- A project is only considered accepted once a formal agreement or purchase order is signed.
- Payment terms will be outlined in the final quote or invoice.
3. CLIENT RESPONSIBILITIES
3.1 Accuracy of Information
- Clients must provide accurate and complete project details. Any errors or missing information may affect the quotation and final product.
3.2 Intellectual Property
- By submitting a project, you confirm that you own the rights to the design or have permission to use it.
- We do not claim ownership of your designs but may retain them for internal processing and quality control.
3.3 Compliance with Laws
- Clients must ensure that submitted projects do not violate any local, state, or federal laws, including but not limited to patent and copyright regulations.
4. LIMITATION OF LIABILITY
4.1 No Guarantee of Feasibility
- We do not guarantee that all submitted projects can be manufactured. If a project is found unfeasible, we will notify the client.
4.2 Liability Disclaimer
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
4.3 Force Majeure
- We are not responsible for delays or failures in service due to events beyond our control, including but not limited to natural disasters, supply chain disruptions, or technical failures.
5. PAYMENT & CANCELLATION
5.1 Payment Terms
- Payment terms will be specified in the quote or invoice. Failure to make timely payments may result in project delays or cancellation.
5.2 Order Cancellations
- Clients may cancel an order before production begins. If production has started, cancellation fees may apply.
5.3 Refund Policy
- Refunds are only available in cases of clear manufacturing defects or non-fulfillment of agreed-upon specifications.
6. CONFIDENTIALITY & DATA PROTECTION
6.1 Confidential Information
- Any non-public information shared between the client and the company will be treated as confidential and will not be disclosed without permission, except as required by law.
6.2 Data Protection
- We follow industry best practices to protect your data. However, we are not liable for unauthorized access due to cyber threats or data breaches.
7. GOVERNING LAW & DISPUTE RESOLUTION
7.1 Governing Law
- These Terms are governed by the laws of the State of Delaware, United States.
7.2 Dispute Resolution
- Any disputes shall first be attempted to be resolved through negotiation. If unresolved, disputes will be settled through arbitration in Delaware.
